Section 1

Introduction and Acceptance

Welcome to Tor Delivery Limited ("Tor Delivery", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, mobile application ("the App"), and all delivery services we provide (collectively, "the Services").

By accessing our website, downloading or using our App, creating an account, or booking a delivery with us, you ("you", "the User", "the Merchant", or "the Customer") confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you must not use our Services.

These Terms constitute a legally binding agreement between you and Tor Delivery Limited.

Section 2

Definitions

  • "Booking" means a delivery request placed through the App, website, phone, or any other authorised channel.
  • "Item" means any parcel, package, or product submitted to Tor Delivery for delivery.
  • "Pay-on-Delivery" or "POD" means an arrangement where Tor Delivery collects payment from the recipient on the Merchant's behalf at the point of delivery.
  • "Recipient" means the person to whom an Item is to be delivered.
  • "Remittance" means the transfer of collected POD funds to the Merchant, net of applicable fees.
  • "Waybill" means the delivery record containing Item, sender, and recipient details.
Section 3

Our Services

Tor Delivery is a last-mile delivery company operating in Cross River State, Nigeria. We provide delivery services for businesses and individuals, including Pay-on-Delivery and last-mile delivery within our operational coverage area.

3.1 Scope Limitation

Tor Delivery is strictly a logistics and delivery company. We do not manufacture, inspect, verify, warrant, or guarantee the quality, authenticity, fitness, or legality of any Item we deliver. We are not a party to any sale between a Merchant and their customer, and we bear no responsibility for disputes arising from the underlying transaction, product quality, or merchant conduct.

Section 4

Account Registration and Use of the App

4.1

To access certain Services, you must create an account through our App or website and provide accurate, current, and complete information.

4.2

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity carried out under your account.

4.3

You agree to notify us immediately of any unauthorised use of your account. Tor Delivery shall not be liable for any loss or damage arising from your failure to safeguard your login details.

4.4

You must be at least eighteen (18) years of age and legally capable of entering into binding contracts to use our Services.

4.5

We reserve the right to suspend, restrict, or terminate any account at our sole discretion where we reasonably suspect fraud, misuse, breach of these Terms, or any unlawful activity.

4.6

You agree to use the App only for its intended purpose. You shall not attempt to reverse-engineer, copy, tamper with, disrupt, or gain unauthorised access to the App or our systems.

Section 5

Bookings and Delivery

5.1

All Bookings are subject to acceptance and availability. A Booking is only confirmed once you receive confirmation through the App or another official channel.

5.2

You are responsible for providing complete and accurate delivery information, including the Recipient's name, phone number, and address. Tor Delivery shall not be liable for failed, delayed, or misdirected deliveries resulting from incorrect, incomplete, or false information provided by you.

5.3

Delivery timeframes provided are estimates only and are not guaranteed. Delivery times may be affected by traffic, weather, distance, order volume, route conditions, and other factors beyond our control.

5.4

Where a Recipient is unavailable, refuses delivery, or cannot be reached, the delivery shall be treated as a Failed Delivery in accordance with Section 9.

5.5

All Bookings must be made exclusively through the Tor Delivery App or other official channels authorised by Tor Delivery. Bookings or arrangements made directly with individual riders, or through any channel not officially authorised by Tor Delivery, are not covered by these Terms and fall entirely outside the scope of our Services.

For the safety of your parcel, always book through the Tor Delivery app. Bookings arranged directly with riders or outside the app are not covered by Tor Delivery, and we cannot guarantee, track, or take responsibility for them.

Section 6

Pricing and Payment

6.1

Delivery fees are displayed in the App or communicated at the time of Booking and are payable per delivery.

6.2

All fees are charged regardless of whether a delivery is successful, except where expressly stated otherwise.

6.3

Fees may be revised from time to time. Any changes will be communicated through the App, website, or other official channels and shall apply to Bookings made after such notice.

6.4

All payments must be made through the channels we authorise. Tor Delivery shall not be responsible for payments made to unauthorised persons or accounts.

6.5

You agree not to withhold, offset, or deduct any fees owed to Tor Delivery against any claim, dispute, or counterclaim.

Section 7

Pay-on-Delivery (POD) Terms

7.1

Where POD is activated, Tor Delivery will collect the stated amount from the Recipient on the Merchant's behalf at the point of delivery.

7.2

Collected POD funds will be remitted to the Merchant, less applicable delivery and service fees, in accordance with the agreed remittance schedule.

7.3

POD collection is performed on a best-efforts basis. Tor Delivery shall not be liable for any shortfall, refusal, or non-payment by a Recipient.

7.4

In the event of a Failed Delivery under POD, no payment will be collected, and applicable return fees shall apply.

7.5

Any dispute regarding POD remittance must be raised in writing within forty-eight (48) hours of the stated remittance date. Claims raised after this period shall not be entertained.

Section 8

Prohibited and Restricted Items

8.1

You shall not submit any of the following for delivery:

  • Illegal goods, contraband, or any item prohibited under Nigerian law
  • Firearms, ammunition, explosives, or weapons
  • Narcotics, controlled substances, or unprescribed drugs
  • Flammable, hazardous, corrosive, or perishable dangerous materials
  • Cash, currency, or negotiable instruments (except where expressly agreed in writing)
  • Stolen goods or items of suspicious or unverifiable origin
  • Live animals, human remains, or body parts
  • Counterfeit or infringing goods
8.2

Tor Delivery reserves the right to refuse, open, inspect, return, or report to the relevant authorities any Item suspected to fall within these categories.

8.3

You bear full legal and financial responsibility for any prohibited Item submitted, and you agree to indemnify Tor Delivery against all resulting liabilities, fines, losses, or legal action.

Section 9

Failed Deliveries and Returns

9.1

In the event of a Failed Delivery, we will notify you and await instructions within twenty-four (24) hours.

9.2

If no instruction is received within twenty-four (24) hours, we may return the Item to your designated location, and a return handling fee shall apply.

9.3

Tor Delivery shall not be obligated to store undelivered Items beyond forty-eight (48) hours unless expressly agreed in writing.

9.4

Repeated Failed Deliveries arising from inaccurate information provided by you shall not be refunded.

Section 10

Packaging and Item Declaration

10.1

You are solely responsible for the adequate and secure packaging of all Items.

10.2

Fragile, sensitive, or high-value Items must be clearly labelled and packaged to withstand normal handling during transit.

10.3

Tor Delivery shall not be liable for damage resulting from inadequate, poor, or defective packaging.

10.4

You must accurately declare the contents and value of every Item. Undeclared or falsely declared Items render our liability void in the event of loss or damage.

Section 11

Limitation of Liability

11.1

To the maximum extent permitted by law, Tor Delivery's total liability for loss of or damage to any single Item shall be limited to the lower of the actual proven value of the Item or ₦100,000 (One Hundred Thousand Naira), regardless of the declared or actual value.

11.2

Tor Delivery shall only be liable where loss or damage is proven to have resulted directly from our gross negligence or wilful misconduct during transit.

11.3

Tor Delivery shall not be liable for:

  • Loss or damage caused by inadequate packaging or inaccurate information provided by you
  • Indirect, incidental, consequential, or special losses, including loss of profit, income, business, goodwill, or customer relationships
  • Delays or failures caused by events beyond our reasonable control (see Section 13)
  • Items seized by law enforcement or regulatory authorities
  • Pre-existing damage to Items prior to handover
  • Any dispute between a Merchant and their customer relating to the underlying product or transaction
  • Loss arising from the use of, or inability to use, the App, website, or any third-party service
11.4

All claims for loss or damage must be submitted in writing within forty-eight (48) hours of the scheduled delivery date, accompanied by proof of value and the relevant Waybill. Claims submitted after this period shall be barred.

11.5

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable Nigerian law.

Section 12

Indemnification

You agree to indemnify, defend, and hold harmless Tor Delivery Limited, its directors, employees, riders, and agents from and against any and all claims, liabilities, damages, losses, fines, costs, and expenses (including reasonable legal fees) arising out of or connected with:

  • Your breach of these Terms
  • Your submission of prohibited, illegal, or falsely declared Items
  • Inaccurate information provided by you
  • Your violation of any law or the rights of any third party
  • Any dispute between you and your customer
Section 13

Force Majeure

Tor Delivery shall not be liable for any delay, failure, or non-performance of its obligations arising from events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, fuel scarcity, civil unrest, riots, strikes, government action, road closures, insecurity, pandemics, or failure of telecommunications or power infrastructure.

Section 14

Intellectual Property

14.1

All content on our website and App, including the Tor Delivery name, logo, trademarks, designs, text, graphics, and software, is the property of Tor Delivery Limited and is protected by applicable intellectual property laws.

14.2

You may not copy, reproduce, distribute, modify, or use any of our intellectual property without our prior written consent.

Section 15

Data Protection and Privacy

15.1

We collect and process personal data in accordance with our Privacy Policy and the Nigeria Data Protection Act 2023.

15.2

By using our Services, you consent to the collection, storage, and use of your data as described in our Privacy Policy.

15.3

You warrant that any personal data you provide to us about Recipients or third parties has been lawfully obtained and may be shared with us for the purpose of fulfilling deliveries.

Section 16

Suspension and Termination

16.1

We may suspend or terminate your access to the Services, with or without notice, where you breach these Terms, engage in fraud or unlawful activity, or act in a manner that harms Tor Delivery's operations or reputation.

16.2

Upon termination, all outstanding fees become immediately payable, and any Items in our possession shall be returned to you at your cost.

16.3

Termination shall not affect any rights, obligations, or liabilities that accrued prior to termination.

Section 17

Disclaimer of Warranties

The Services, website, and App are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Tor Delivery disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and uninterrupted or error-free operation of the App or website.

Section 18

Dispute Resolution and Governing Law

18.1

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

18.2

In the event of a dispute, both parties shall first attempt to resolve the matter amicably through good-faith negotiation within fourteen (14) days.

18.3

Where the dispute remains unresolved, it shall be referred to mediation or arbitration in accordance with the Arbitration and Mediation Act 2023. The courts of Cross River State shall have jurisdiction over any matter not resolved by the above means.

Section 19

Amendments to These Terms

19.1

We reserve the right to amend, update, or modify these Terms at any time.

19.2

Material changes will be communicated through the App, website, or other official channels. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

Section 20

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.

Section 21

Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Tor Delivery Limited and supersede all prior understandings, whether written or oral.
